This is purely a guess, but if he accepted arbitration he probably couldn't make less than he did last season (which was 10 million). Maybe the Sox would have settled giving him a 10% raise (11 million) then risk Varitek winning the case (which he probably had no shot of) or winning a judgement that would have costed the Sox more than the 11 million dollar figure.
